Welcome to Broker Buddy. These Terms of Use("Terms") govern your access to and use of the Broker Buddy website, Software and Artificial Intelligence (AI) agents "Discover" and "Propose," and any related services (collectively, the "Service"). The Service is provided by Buddy Software Solutions Pty Ltd("Broker Buddy," "we," "us," or "our").

We encourage all subscribers to read these Terms of Use carefully.

By creating an account, or by accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you are not able to use the Broker Buddy Service.

If you are using the Service on behalf of a company or other legal entity, by agreeing to these Terms you represent that you have the authority to bind that entity to the Terms.

1. Description of the Service

Broker Buddy provides a suite of AI-powered software tools designed to help insurance brokers and brokerages increase efficiency and automate repetitive tasks. The Service includes, but is not limited to:

Discover: An AI agent that ingests publicly available business information to build business and risk profiles, recommend potential coverages, and draft structured Q&A documents.
Propose: An AI agent that ingests insurer quotes, analyses the data and generates professional, data-driven proposals and recommendations.

Our Service is a specialised AI platform designed to create efficiencies and enhance the professional capabilities of insurance brokers. It is not a substitute for your professional judgment, due diligence, or regulatory obligations as an insurance broker. You are solely responsible for the final review, accuracy, and delivery of all materials created using the Service.

2. User Accounts

Registration: To use the Service, you must register for an account. You agree to provide information that is accurate, complete, and current at all times.
Eligibility: You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use our Service.
Account Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree to notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

3. Fees, Payment, and Subscriptions

Subscriptions: The Service is billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring, periodic basis (such as monthly or annually), depending on the Subscription plan you select.
Automatic Renewal: At the end of each billing cycle, your Subscription will automatically renew under the same conditions, if you breach the Terms Broker Buddy reserves the right to terminate your service at any time without notice. You can terminate your Subscription at any stage through the online account management page subject to the termination of service conditions.
Payment: A valid payment method is required for your Subscription. You authorise us to charge your chosen payment method for the Subscription fees.
Fee Changes: Broker Buddy, in its sole discretion and at any time, may modify the Subscription fees. We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Refunds: Except when required by law, paid Subscription fees are non-refundable.

4. User Content and Data Ownership

This is central to our value of being an Honest Partner.

You Own Your Content: You retain full ownership of all the data, information, documents, and other materials you upload or input into the Service, including client information and insurer quotes ("User Content").
Our Limited License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes, subject to these Terms.
Your Limited License to Us: To provide the Service, you grant Broker Buddy a worldwide, non-exclusive, royalty-free license to use, process, store, reproduce, and display your User Content, solely for the purpose of operating, providing, and improving the Service for you. We do not use your content for marketing purposes, nor do we share it with any users outside of your organisation unless we have your express consent.
Your Responsibility: You are solely responsible for your User Content, including its legality, reliability, and appropriateness. You represent and warrant that you have all the necessary rights to the User Content and that its use does not violate any laws or the rights of any third party.
Appropriate Use of Data: You must ensure that all content and data entered into the system is appropriate, lawful, and relevant to the intended business use. The submission of content that is explicit, offensive, discriminatory, or otherwise inappropriate, including but not limited to material that is sexually explicit, racially or ethnically insensitive, or promotes hate or violence is strictly prohibited. We reserve the right to remove such content, suspend service and take appropriate action in accordance with our acceptable use policy and applicable laws.

5. Intellectual Property

You agree that Broker Buddy own all intellectual property rights to the Service and all its original content features and functionality (excluding User Content). All intellectual property rights are and will remain the exclusive property of Broker Buddy and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6. Acceptable Use Policy

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You agree not to:

Use the Service in any way that violates any applicable commonwealth, state, local, or international law or regulation.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
Use the Service to transmit any harassing, defamatory, obscene, or illegal material.
Resell, sublicense, or otherwise make the Service available to any third party.
Use any automated system, including "bots" or "spiders," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
Use the service in any way that leads to or may lead to a breach of the Appropriate Use of Data clause in section 4

7. Termination

By You: You may terminate your account and Subscription at any time through your account settings. Termination will be effective at the end of your current billing cycle.
By Us: We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if you breach these Terms.
Effect of Termination: Upon termination, your right to use the Service will cease immediately.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. Broker Buddy makes no warranties, either express or implied, regarding the service, including but not limited to its reliability, accuracy, completeness, or fitness for a particular purpose. We do not warrant that the service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Broker Buddy, its directors, contractors, employees, or partners be liable for any loss or damage as a result of your use of the Service, including for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service. Our total aggregate liability in any matter arising out of or related to these Terms or your use of the Services is limited to the greater of (a) $100 AUD or (b)the total amount of fees you paid to us in the 12 months preceding the event giving rise to the liability.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in Sydney, New South Wales.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide a minimum of 30 days' notice prior to any new terms taking effect, by email or through an in-app notification. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
